Terms of Service

01The parties

“HarborDesk” and “the Service” refer to the software platform and associated services operated by Arqflow, Inc. “You” refers to the agency, company, or individual accessing or using the Service.

02Current status — pre-launch

HarborDesk is in a pre-launch phase. Submitting a waitlist application does not guarantee access, create a contract for software services, or impose any payment obligation on either party. We reserve the right to accept or decline applications at our discretion.

When the platform becomes available, separate subscription terms and a data processing agreement will govern your use. These Terms will be updated accordingly.

03Acceptable use

You agree to use HarborDesk only for lawful business purposes. You must not:

  • Provide false or misleading information in your waitlist application
  • Attempt to gain unauthorized access to systems or data
  • Reverse engineer, decompile, or copy any part of the platform
  • Use the Service in any way that violates applicable laws or regulations
  • Transmit malicious code, spam, or any material that infringes third-party rights

04Intellectual property

All content, design, code, trademarks, and materials that make up HarborDesk are owned by or licensed to Arqflow, Inc. Nothing in these Terms grants you any right to use Arqflow’s or HarborDesk’s name, logo, or other marks without prior written permission.

Data you enter into the platform (voyage records, documents, contacts) remains yours. You grant us the limited rights necessary to provide and improve the Service.

05Confidentiality

During the pre-launch and founding cohort phase, information shared about the product — including features, pricing, and roadmap — is shared in confidence. Please do not publish or distribute non-public product information without our written consent.

06Disclaimers

The Service is provided “as is” and “as available”, without warranty of any kind — express or implied — including warranties of merchantability, fitness for a particular purpose, or non-infringement. We make no warranty that the Service will be uninterrupted, error-free, or free of harmful components.

HarborDesk is an operational management tool. You remain solely responsible for the accuracy of data entered, the legality of your operations, and compliance with port authority, flag state, and principal requirements.

07Limitation of liability

To the fullest extent permitted by applicable law, Arqflow, Inc. shall not be liable for any indirect, incidental, consequential, or punitive damages — including loss of revenue, data, or business — arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising from these Terms or the Service shall not exceed the greater of (a) the amounts you paid us in the twelve months preceding the claim, or (b) USD $100.

08Indemnification

You agree to indemnify and hold harmless Arqflow, Inc. and its officers, employees, and contractors from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

09Privacy

Our Privacy Policy describes how we handle personal data. By using the Service, you agree to that policy.

10Modifications

We may update these Terms from time to time. Material changes will be communicated by email to applicants and active customers. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11Termination

Either party may terminate the relationship at any time. We reserve the right to remove any user from the waitlist or revoke platform access if these Terms are violated. Upon termination, your right to use the Service ceases immediately.

12Governing law

These Terms are governed by and construed in accordance with applicable law. Any disputes will be resolved through good-faith negotiation; if unresolved, through binding arbitration or the courts of competent jurisdiction.
